ok, i feel really stupid, but i cant figure out how to use the program, could you explain the process?  Does it have to do with where the cob file is (i have it in the same folder as the COB2FS2.EXE right now)?

You have to run it from the dos prompt. You should
1) Have the model you want converted in COB format and textures in the directory
2) Open up a dos window
3) Go to the directory where cob2pof is
4) Type in "cob2fs2" and then the filename you want converted, ie ship.cob
5) Look in the directory for "test.pof" and open with your POF editor...voila! :D
